Acceptance of Terms

By accessing, using, or continuing to use the platform, you agree to be bound by these Terms of Use, all incorporated policies, and all related disclosures presented through the platform. If you do not agree, you must not access or use the platform.

Your continued use of the platform following any modification to these Terms of Use constitutes acceptance of those changes. Electronic acceptance, including selecting, clicking, tapping, or otherwise affirming agreement through the platform, is legally binding and has the same force and effect as a handwritten signature.

Scope of Platform

The platform is a neutral technology infrastructure that facilitates the display, organization, routing, recording, and presentation of financial-related information and activity.

The platform does not provide investment advice, legal advice, tax advice, financial planning, brokerage services, execution services, custody services, fiduciary services, or discretionary decision-making.

• The platform does not execute trades or transactions.
• The platform does not custody assets, hold funds, or maintain beneficial ownership records.
• The platform does not act as a broker-dealer, investment adviser, custodian, or fiduciary.
• The platform does not make decisions on behalf of any user.

The platform functions solely as an independent system connecting users, advisors, brokers, custodians, and other third parties that remain separate and independent from one another.

Role Definitions

No role assumes the obligations of any other role. No use of the platform changes or merges these functions.

Non-Advisory Status; No Fiduciary Relationship

All information made available through the platform is general, informational, operational, administrative, or system-generated. It is not tailored to your personal circumstances unless expressly identified in writing by the responsible third party and not by the platform.

• The platform does not provide advice or recommendations.
• The platform does not evaluate suitability or appropriateness.
• The platform does not monitor accounts, holdings, allocation changes, or investment performance.
• The platform does not update, revise, or maintain recommendations.

You are solely responsible for obtaining independent legal, tax, financial, investment, accounting, or other professional advice where appropriate.

User Responsibility

You are solely responsible for all decisions, instructions, entries, submissions, actions, and omissions associated with your account and your use of the platform.

• You are responsible for monitoring your account activity and transaction history.
• You are responsible for reviewing all records, confirmations, logs, notices, and disclosures.
• You are responsible for all outcomes, including gains, losses, costs, delays, and rejected activity.
• You are responsible for ensuring that all instructions and inputs are complete and accurate.

All actions taken through your credentials, access devices, or authenticated session will be treated as authorized by you unless otherwise required by applicable law.

Third-Party Services and Content

The platform may provide access to, display, transmit, or organize third-party information, including advisor strategies, broker information, custodian records, research, pricing data, and market data.

The platform does not verify or validate such information and does not guarantee its accuracy, completeness, timeliness, sequencing, availability, or fitness for any purpose.

Your use of third-party services, content, research, data, or market information is at your own risk. The platform is not responsible for any act, omission, failure, misconduct, error, or delay of any third party.

Execution and Market Risk

All financial activity and all transactions facilitated or referenced through the platform are subject to market conditions, volatility, liquidity constraints, price fluctuations, spread changes, timing differences, partial fills, rejections, failed execution, and settlement risks.

• Execution may be delayed, partial, rejected, or fail entirely.
• Prices may differ from quoted, expected, modeled, or displayed values.
• Markets may move rapidly and materially between order entry, routing, execution, and settlement.

The platform has no control over execution timing, pricing, liquidity, routing destination, settlement, or counterparty behavior.

Electronic Systems and Operational Risk

Access to the platform may be limited, delayed, degraded, or unavailable due to system outages, communication failures, hardware or software faults, network interruptions, cybersecurity events, maintenance, updates, third-party failures, or periods of high demand or market volatility.

• The platform does not guarantee continuous availability or uninterrupted performance.
• The platform is not liable for delayed transmission, unavailable access, degraded performance, or interrupted processing.
• You are responsible for maintaining alternative methods, internal controls, and backup procedures where necessary.

No Monitoring or Intervention

The platform does not monitor accounts, holdings, instructions, asset movements, exposure, concentration, performance, or suitability. The platform does not intervene in user activity, alert users to potential risk, or prevent users from making decisions unless the platform imposes a technical or compliance restriction in its sole discretion.

All activity is processed as initiated, recorded, or displayed without oversight or judgment by the platform.

Fees and Compensation

The platform may charge fees and may receive compensation from users, partners, service providers, affiliates, or other commercial relationships in connection with platform access, technology services, integrations, support, routing-related infrastructure, or operational functionality.

Unless otherwise required by applicable law or separate written agreement, fee schedules, pricing structures, and commercial arrangements may change at any time.

Disclaimer of Warranties; Limitation of Liability

The platform is provided on an as-is and as-available basis, with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, completeness, reliability, performance, or uninterrupted access.

To the maximum extent permitted by law, the platform and its affiliates, licensors, vendors, service providers, officers, directors, employees, contractors, and agents shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other losses or damages, including lost profits, trading losses, opportunity costs, data loss, business interruption, execution loss, delay, system failure, or losses arising from third-party content, third-party actions, or unauthorized access.

To the extent liability cannot be disclaimed, total aggregate liability arising out of or relating to the platform, these Terms of Use, or your use of the platform shall not exceed the greater of the amount paid by you to the platform during the three-month period immediately preceding the event giving rise to the claim or one hundred dollars ($100).

Indemnification

You agree to defend, indemnify, and hold harmless the platform and its affiliates, licensors, vendors, service providers, officers, directors, employees, contractors, and agents from and against any claims, actions, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• your use of the platform;
• your breach of these Terms of Use;
• your violation of applicable law, regulation, or third-party rights;
• your dispute with any advisor, broker, custodian, counterparty, or other third party;
• your misuse of data, content, credentials, or system functionality.

Account Security

You are solely responsible for maintaining the confidentiality and security of your login credentials, device access, session control, passwords, authentication methods, and any access granted by you to third parties.

You must notify the platform promptly if you become aware of unauthorized access, credential compromise, suspicious activity, conflicting records, failed confirmations, or any security incident involving your account or device environment.

The platform is not liable for unauthorized access or resulting losses arising from your failure to secure your credentials, systems, devices, or account access.

Communications and Consent

You consent to receive notices, disclosures, records, confirmations, account-related communications, service messages, and legal updates electronically, including by in-platform delivery, email, text, or other digital methods permitted by law.

You consent to the recording, retention, and review of communications where permitted by law for operational, compliance, security, service-quality, and evidentiary purposes.

Communications are deemed delivered when sent, posted, made available, or otherwise transmitted to the contact method or delivery channel associated with your account.

Data and Privacy

The platform may collect, store, organize, process, transmit, retain, and use account, system, session, device, communication, operational, and transactional data in accordance with applicable law and the platform Privacy Policy.

Such data may be shared with affiliates, service providers, infrastructure providers, compliance vendors, analytics providers, and other authorized parties for operational, security, compliance, support, and improvement purposes. Aggregated and de-identified data may be used for analytics, system development, quality control, and operational reporting.

Account Restrictions and Controls

The platform may, in its sole discretion and without prior notice where permitted by law, restrict, reject, suspend, limit, block, or terminate account access, features, sessions, data flow, activity, or transaction-related functions for compliance, legal, operational, security, risk-management, technical, or business reasons.

This includes action taken in response to court orders, regulatory requests, law enforcement inquiries, sanctions concerns, internal risk determinations, system misuse, conflicting claims, disputes, suspected fraud, unauthorized activity, or system integrity concerns.

Compliance and Legal Status

You represent and warrant on a continuing basis that:

• you are not subject to sanctions, embargoes, or prohibited-party restrictions applicable to your use of the platform;
• you are not acting on behalf of any prohibited or restricted person or entity;
• your use of the platform complies with all applicable laws, regulations, rules, and legal obligations;
• all information you provide is accurate and not misleading.

The platform does not assume responsibility for your legal, regulatory, tax, filing, reporting, licensing, disclosure, or jurisdiction-specific compliance obligations.

Intellectual Property

All platform software, designs, interfaces, workflows, content, text, graphics, configurations, data presentation, branding, and related technology are owned by the platform or its licensors and are protected by law.

You are granted a limited, revocable, non-exclusive, non-transferable license to use the platform solely for its intended internal use and subject to these Terms of Use.

• You may not copy, reproduce, republish, distribute, modify, sell, license, or create derivative works from platform content or technology.
• You may not reverse engineer, decompile, disassemble, scrape, automate access to, or exploit the platform except as expressly permitted in writing.

Modifications

The platform may modify these Terms of Use, related policies, incorporated disclosures, feature terms, or access conditions at any time. Updated terms become effective when posted, delivered, or otherwise made available through the platform or by other legally sufficient notice.

Your continued use of the platform after such update constitutes acceptance of the revised terms.

Termination

The platform may suspend, restrict, or terminate your access to the platform or any portion of it at any time, with or without notice, to the maximum extent permitted by law. You may discontinue use of the platform at any time.

Termination or discontinuation does not affect obligations, liabilities, waivers, disclaimers, audit rights, recordkeeping rights, dispute provisions, indemnification obligations, or any provision that by its nature should survive termination.

Governing Law

These Terms of Use and all disputes, claims, or controversies arising out of or relating to the platform, these Terms of Use, or any related use of the platform shall be governed by the laws of the designated governing jurisdiction, without regard to conflict-of-law principles, except to the extent federal law applies and controls.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to the platform, these Terms of Use, or any related relationship or activity shall be resolved through binding arbitration on an individual basis, except to the extent a claim is expressly permitted to be brought in court under applicable law.

• You waive any right to participate in a class action, collective action, consolidated action, representative action, or private attorney general action.
• Any arbitration shall be conducted only on an individual basis.
• No arbitrator may consolidate claims or preside over any form of representative or class proceeding.

Entire Agreement; No Oral Modification

These Terms of Use, together with all incorporated policies, disclosures, notices, and related legal documents made part of the platform framework, constitute the entire agreement between you and the platform regarding the subject matter addressed herein and supersede prior or contemporaneous understandings relating to that subject matter.

No oral statement, course of conduct, or prior practice modifies these Terms of Use. Any waiver must be in writing by the party granting the waiver and applies only to the specific circumstance identified.
